Safe custody.—Every nominee director shall keep every certificate of incorporation to which these rules apply in a receptacle or place reserved for the purpose at the premises where the representation of a shareholder on a board is carried on, shall record in Form AOC-4 the description of every certificate of incorporation so kept and the date on which it was received, and shall furnish a copy of the record to the Registrar of Companies within sixty days of the close of each year.
