Surrender of certificate.—Every director who ceases to carry on the management of a company shall, within one hundred and twenty days of such cessation, surrender the certificate of registration to the Government of Tamil Nadu in person or by registered post, and shall inform it in Form DIR-12 of the manner in which every balance sheet held by him has been disposed of.
