Surrender of certificate.—Every director who ceases to carry on the management of a company shall, within forty-five days of such cessation, surrender the certificate of registration to the Registrar of Companies in person or by registered post, and shall inform it in Form MGT-7 of the manner in which every register of charges held by him has been disposed of.
